The Company’s governance structure consists of the General Meeting, the Board of Directors, the Executive Board, and the non-permanent Supervisory Board – all with responsibilities defined by the Bylaws. Additionally, the company has an ESG Committee, an Investment Committee, and thematic working groups (WGs) too, focused on achieving strategic goals, including the ESG WG and the Climate WG.
Our governance structure is integrated with Prumo’s by our participation in its Advisory Committees to the Board and its Executive Board.

Mr. Zampronha became the Chief Executive Officer of Prumo Logística in April 2022. He worked in the industrial, technology, and renewable energy generation sectors, always with a strong entrepreneurial vision. Rogério Zampronha was President of Schneider Electric Brazil and President for South America of Vestas, the world’s largest manufacturer of wind turbines. More recently, he headed Omega Desenvolvimento, where he worked in the structuring and implementation of renewable generation projects, and he continues to serve as a member of the Board of Directors of Omega Energia. He holds an undergraduate degree in Economics from the University of São Paulo (USP) and an MBA from lMD (Lausanne, Switzerland).
Currently serving as Director of Sustainability and Institutional Relations at Prumo, Eduardo Kantz was previously the Director of Sustainability at Prumo Group subsidiary Porto do Açu. With over 15 years of experience in the power, oil & gas and infrastructure industries, Mr. Kantz worked for Eneva during 7 years in leadership positions in the legal, regulatory and sustainability areas. Previously, he worked at Michelin Group and at a legal practice. Mr. Kantz is a visiting professor in post-graduate courses at Getúlio Vargas Foundation (FGV) and in the Legal Studies Center of the Rio de Janeiro State Prosecutor’s Office. He is a Chairperson in the Sustainability Committee of the American Chamber of Commerce. He holds a Law degree and a post-graduate degree in Environmental Law from PUC-Rio and a post-graduate degree in Business Law from FGV.

Rafael is efen´ s CEO, a company that sells and delivers maritime fuels in Brazil´s Southeast region. He joined Prumo in early 2019, where he has held positions in S&T (Gas Trading Co. formed between Prumo and BP), Business Development, and M&A.
Before joining Prumo, Rafael worked at Alvarez & Marsal, where he held various interim executive positions in restructuring projects within the O&G, Logistics, and Engineering & Construction sectors. During his 25 years career, Rafael has also worked with an Infrastructure Investment Fund, a strategy consulting firm, became a partner at a large engineering company and started his career providing services to some of the country’s largest O&G operators.
Rafael is graduated in Civil and Production Engineering from Pontifical Catholic University (PUC-Rio) in 1999, and holds a specialization degree in Corporate Finance from IBMEC-Rio (2003) and an MBA from IE Business School in Madrid (2007).
With a degree in Mechanical Engineering from the Mauá School of Engineering in São Paulo, a degree in Physical Oceanography from the University of São Paulo, and an MBA from COPPEAD-UFRJ, Mr. Bomfim has extensive experience in subsea engineering. During 30+ years at Subsea 7, he was responsible for several projects focused on deep water technology. For the past 17 years, he has been the company’s leader in South America, reporting directly to Subsea 7’s executive team and board in Europe. Since 2017 he has been CEO of Vast Infraestrutura, formerly known as Açu Petróleo, a Prumo Group company dedicated to infrastructure and solutions in logistics for liquids in the energy market. Victor Bomfim also serves as a board member of Porto do Açu Operações and DOME and is a member of the Advisory Board of COPPEAD-UFRJ.

Firmo foi também Vice-presidente Sênior para o Hemisfério Oeste da Seadrill Operations de 2014 a 2019, Presidente do IBP – Instituto Brasileiro de Petróleo, Gás e Biocombustíveis de 2017 a 2019 e Presidente da ABESPETRO – Associação Brasileira de Empresas de Serviços do setor de Petróleo e Gás de 2016 a 2017. Atualmente, Firmo é o CEO da Porto do Açu, uma empresa do Grupo Prumo, responsável pelo desenvolvimento e gestão do Porto do Açu, o maior ativo porto-indústria privado do Brasil. Nascido no Rio de Janeiro, ele tem mestrado em Administração de Empresas da Escola de Gestão de Rotterdam, Erasmus University.
Degree in economics from the Federal University of the State of Rio de Janeiro (UFRJ) and an MBA in Finance from IBMEC. A highly experienced executive with 20 years’ experience in project finance, mergers and acquisitions and business development. He began his professional career at Vale through the Trainee Program in 2000 and worked in the Business Development and Mergers and Acquisitions Department for 6 years. After that, he joined the EBX Group to be part of the team that started the IPO process of MMX Mineração e Metálicos S.A., which was the first launched by the Group in mid-2006. He stayed at MMX for two years. From 2008 to 2012, he worked in the Corporate Finance team, which handled all IPO, Project Finance, M&A and business development operations for all the Group’s companies. Since 2012 he has been the CFO of Prumo Logística, having worked on M&A operations, investor relations, Prumo’s IPO process and various debt raising processes for subsidiaries totaling several billion dollars. In January 2024, he also took over the presidency of Porto do Açu Operações.
Mr. Braz has been working at Port of Açu since 2019 and has 20+ years of experience in logistics, operations, and negotiation of highly complex contracts, overseeing projects in the oil and gas, infrastructure, and navigation industries. His main mission is to attract companies to set up operations in Port of Açu. He is also responsible for developing connectivity solutions (railway, road, cabotage) that boost the port’s competitiveness and attractiveness, and he is in charge of activities in the Multicargo Terminal (TMULT) and the development of other terminals. He has extensive international experience, having previously held two positions in Europe and led teams in Africa and Latin America. He worked for 16 years at the Maersk Group, where he rose to the position of Director General for Latin America of the group’s maritime support unit (Maersk Supply Service). He also worked for Norway’s Westfal-Larsen Shipping. With a degree in Business Administration from the Catholic University of Rio de Janeiro (PUC-Rio), João Braz has specialization coursework from Maersk International Shipping Education, an MBA from the Getúlio Vargas Foundation, and a graduate degree in Oil and Gas from COPPEAD/UFRJ.
Ms. Moraes earned a Law degree from the Federal University of Rio de Janeiro (UFF) in 2008, has specialization in Civil Procedure from the Catholic University of Rio de Janeiro (PUC-Rio), and a master’s degree in Civil Law from the University of Lisbon (2016). She worked in different areas of the Legal Department of Souza Cruz, a multinational company in the consumer goods sector, from 2008 to 2013. She joined the Prumo Group in 2014 and held different positions in the Legal Department of the Prumo Logística holding company until December 2019, when she took over as Legal Director of Porto do Açu Operações.
Mr. Patel is an executive with 15+ years of experience in the port, oil and gas, and logistics industries. He served as Chief Executive Officer, Chief Financial Officer, and Logistics and Supply Chain Project Manager in companies such as Braskem and GranEnergia. He joined the Prumo Group in 2017 to help set up DOME Serviços Integrados, a joint venture between Prumo Logística and GranEnergia focused on subsea infrastructure for the oil and gas industry. He has been Port Administration Director at Porto do Açu Operações since 2019, in charge of maritime management, infrastructure, QSMS (Quality, Health, Environment, and Safety), and institutional relations at the port. His challenge is to operate and develop Açu efficiently and safely, in line with best ESG practices. He holds a degree in Business Administration from the State University of Santa Catarina (UDESC) and an MBA from INSPER.

Com 27 anos de experiência atuando em diversos segmentos, o profissional tem contribuído com a automação e digitalização das indústrias, suportando um crescimento eficiente e sustentável. Graduado em Engenharia, ainda conta com pós-graduação pela Unicamp, especialização de Marketing Digital pela USP e Inovação pelo INSEAD (França) e MBA em Gestão Empresarial pela FGV. O executivo também integra o Conselho da CIESP, é Diretor da área de automação da Abinee. Teve papel relevante como membro da Câmara Brasileira da Indústria 4.0, no Ministério de Ciências, Tecnologia, Inovações e Comunicações do Governo Federal e como Conselheiro do CONIC (Conselho Superior de Inovação e Competitividade) da Fiesp . Atua ainda como mentor de Start-up’s e Scale-up´s, além de fazer parte do conselho consultivo do CEAP (eleita melhor ONG educacional do país diversas vezes). Ao longo de sua trajetória, Cristiano atuou em diversos países das Américas, Europa e Oriente Médio.
With over 15 years of experience in Finance, Marcelo Chaladovsky joined Porto do Açu Operações S.A in August 2022 as Chief Financial Officer. At Grupo Prumo, since 2016, he served as the Holding’s General Financial Manager, responsible for managing the Budget, Financial Planning, and Control areas. Throughout his career, Chaladovsky was a member of the Board of Directors of Ferroport Logística Comercial Exportadora S.A and of the Finance Committee of Vast Infraestrutura S.A and Ferroport. Before joining Prumo, he held financial management positions at Grupo Sá Cavalcante and PDG Realty and worked as credit officer at BRR Administração de Crédito and Banco CR2. Marcelo Chaladovsky has a postgraduate degree in Finance and Corporate Management.
Criado em 2023, possui como responsabilidade apoiar a Diretoria Executiva na implementação da Estratégia de Sustentabilidade, o que abrange a disseminação da cultura ESG e a adoção de boas práticas e a gestão da performance e reporte de indicadores. De 2008 a 2012, atuou no time de Corporate Finance que trabalhava em todas as operações de IPO, Project Finance, M&A e desenvolvimento de negócios para todas as companhias do Grupo. Desde 2012 é Diretor Financeiro (CFO) da Prumo Logística, tendo atuado em operações de M&A, relações com investidores, processo de fechamento de capital da Prumo e vários processos de captação de dívida para subsidiárias totalizado vários bilhões de dólares. Em janeiro de 2024, assumiu também a presidência da Porto do Açu Operações.
Atuando no Porto do Açu desde 2019, João Braz tem mais de 20 anos de experiência nas áreas de logística, operações e negociação de contratos de alta complexidade, liderando empresas nos mercados de óleo e gás, infraestrutura e navegação. Com a principal missão de atrair diferentes indústrias para se instalarem no Porto do Açu, ele também é responsável por desenvolver soluções de conectividade (ferrovia, rodovia, cabotagem) que aumentam a competitividade e atratividade do porto. Além disso, é responsável pelas atividades do Terminal Multicargas (TMULT) e pelo desenvolvimento de outros terminais. Com sólida experiência internacional, passou anteriormente por duas diferentes posições na Europa e liderou times na África e América Latina. Trabalhou por 16 anos no Grupo Maersk, onde chegou ao cargo de Diretor Geral para a América Latina da unidade de apoio marítimo do grupo (Maersk Supply Service) , também tendo atuado no grupo norueguês de navegação Westfal-Larsen Shipping. Formado pela PUC-Rio em Administração de Empresas, o executivo tem especialização pela Maersk International Shipping Education, MBA em Negócios pela Fundação Getúlio Vargas e Pós-Graduação em Óleo e Gás pela Coppead/UFRJ.
Graduada em Direito pela Universidade Federal Fluminense (UFF) em 2008, com especialização em Processo Civil pela PUC-RJ (2012) e Mestrado em Direito Civil pela Universidade de Lisboa (2016). Em 2014 ingressou no Grupo Prumo, tendo ocupado diferentes cargos e funções dentro do Departamento Jurídico da holding Prumo Logística até dezembro de 2019, quando assumiu a atual posição de Diretora Jurídica da Porto do Açu Operações.
Executivo com mais de 15 anos de experiência nos setores portuário, de óleo e gás e logística, tendo ocupado cargos de Diretor Presidente, Diretor Financeiro e Gerente de Projetos de Logística e Cadeia de Suprimentos em empresas como BRASKEM e GranEnergia. Ingressou no Grupo Prumo em 2017 na formação da DOME SERVIÇOS INTEGRADOS, Joint Venture entre a Prumo Logística e a GranEnergia, na área de infraestrutura subsea para o setor
de óleo e gás. Desde 2019, é Diretor de Administração Portuária da Porto do Açu Operações sendo responsável pela gestão marítima, de infraestrutura, QSMS e relações institucionais do porto, com o desafio de operar e desenvolver o Açu de forma eficiente e segura, em linha com as melhores práticas ESG. Vinícius é graduado em administração empresarial pela Universidade do Estado de Santa Catarina (UDESC) e possui MBA em gestão de negócios pelo INSPER.

Marcelo Chaladovsky é pós-graduado em Finanças e Gestão Corporativa.

Graduado em Direito pela PUC-Rio, possui pós-graduação em Direito Ambiental pela PUC-Rio e em Direito Empresarial pela FGV.
The Board of Directors plays a crucial role in updating and implementing the corporate strategy, including setting guidelines, controlling and monitoring our performance, and reviewing and approving the mission, vision, values, purpose, goals and strategic planning for the next five years.

After that, he joined the EBX Group to be part of the team that started the IPO process of MMX Mineração e Metálicos S.A., which was the first launched by the Group in mid-2006. He stayed at MMX for two years. From 2008 to 2012, he worked in the Corporate Finance team, which handled all IPO, Project Finance, M&A and business development operations for all the Group’s companies. Since 2012 he has been the CFO of Prumo Logística, having worked on M&A operations, investor relations, Prumo’s IPO process and various debt raising processes for subsidiaries totaling several billion dollars. In January 2024, he also took over the presidency of Porto do Açu Operações.
Mr. Braz has been working at Port of Açu since 2019 and has 20+ years of experience in logistics, operations, and negotiation of highly complex contracts, overseeing projects in the oil and gas, infrastructure, and navigation industries. His main mission is to attract companies to set up operations in Port of Açu. He is also responsible for developing connectivity solutions (railway, road, cabotage) that boost the port’s competitiveness and attractiveness, and he is in charge of activities in the Multicargo Terminal (TMULT) and the development of other terminals. He has extensive international experience, having previously held two positions in Europe and led teams in Africa and Latin America. He worked for 16 years at the Maersk Group, where he rose to the position of Director General for Latin America of the group’s maritime support unit (Maersk Supply Service). He also worked for Norway’s Westfal-Larsen Shipping. With a degree in Business Administration from the Catholic University of Rio de Janeiro (PUC-Rio), João Braz has specialization coursework from Maersk International Shipping Education, an MBA from the Getúlio Vargas Foundation, and a graduate degree in Oil and Gas from COPPEAD/UFRJ.

She worked in different areas of the Legal Department of Souza Cruz, a multinational company in the consumer goods sector, from 2008 to 2013. She joined the Prumo Group in 2014 and held different positions in the Legal Department of the Prumo Logística holding company until December 2019, when she took over as Legal Director of Porto do Açu Operações.
Mr. Patel is an executive with 15+ years of experience in the port, oil and gas, and logistics industries. He served as Chief Executive Officer, Chief Financial Officer, and Logistics and Supply Chain Project Manager in companies such as Braskem and GranEnergia. He joined the Prumo Group in 2017 to help set up DOME Serviços Integrados, a joint venture between Prumo Logística and GranEnergia focused on subsea infrastructure for the oil and gas industry. He has been Port Administration Director at Porto do Açu Operações since 2019, in charge of maritime management, infrastructure, QSMS (Quality, Health, Environment, and Safety), and institutional relations at the port. His challenge is to operate and develop Açu efficiently and safely, in line with best ESG practices. He holds a degree in Business Administration from the State University of Santa Catarina (UDESC) and an MBA from INSPER.

With over 15 years of experience in Finance, Marcelo Chaladovsky joined Porto do Açu Operações S.A in August 2022 as Chief Financial Officer. At Grupo Prumo, since 2016, he served as the Holding’s General Financial Manager, responsible for managing the Budget, Financial Planning, and Control areas. Throughout his career, Chaladovsky was a member of the Board of Directors of Ferroport Logística Comercial Exportadora S.A and of the Finance Committee of Vast Infraestrutura S.A and Ferroport. Before joining Prumo, he held financial management positions at Grupo Sá Cavalcante and PDG Realty and worked as credit officer at BRR Administração de Crédito and Banco CR2. Marcelo Chaladovsky has a postgraduate degree in Finance and Corporate Management.
Created in 2023, the Sustainability Committee is responsible for supporting the Executive Board in implementing the Sustainability Strategy, which includes fostering an ESG culture, adopting best practices and managing performance and indicator reporting. It is primarily composed of Executive Board members, with various departments participating as listeners, and is led by the Sustainability department. Desde 1992, quando se juntou à Schlumberger, ele trabalhou em várias áreas que vão desde Testing & Wireline Field Engineer offshore Brasil, posições de gerente de campo na América do Norte e América do Sul, Diretor de Recursos Humanos Global, Vice-Presidente de Operações na América Latina e Presidente da Schlumberger Brasil. Firmo foi também Vice-presidente Sênior para o Hemisfério Oeste da Seadrill Operations de 2014 a 2019, Presidente do IBP – Instituto Brasileiro de Petróleo, Gás e Biocombustíveis de 2017 a 2019 e Presidente da ABESPETRO – Associação Brasileira de Empresas de Serviços do setor de Petróleo e Gás de 2016 a 2017. Atualmente, Firmo é o CEO da Porto do Açu, uma empresa do Grupo Prumo, responsável pelo desenvolvimento e gestão do Porto do Açu, o maior ativo porto-indústria privado do Brasil. Nascido no Rio de Janeiro, ele tem mestrado em Administração de Empresas da Escola de Gestão de Rotterdam, Erasmus University.

Currently serving as Director of Sustainability and Institutional Relations at Prumo, Eduardo Kantz was previously the Director of Sustainability at Prumo Group subsidiary Porto do Açu. With over 15 years of experience in the power, oil & gas and infrastructure industries, Mr. Kantz worked for Eneva during 7 years in leadership positions in the legal, regulatory and sustainability areas. Previously, he worked at Michelin Group and at a legal practice. Mr. Kantz is a visiting professor in post-graduate courses at Getúlio Vargas Foundation (FGV) and in the Legal Studies Center of the Rio de Janeiro State Prosecutor’s Office. He is a Chairperson in the Sustainability Committee of the American Chamber of Commerce. He holds a Law degree and a post-graduate degree in Environmental Law from PUC-Rio and a post-graduate degree in Business Law from FGV.
